There are three parts to forming your LLC today:

  1. Obtain an EIN from the IRS.
  2. File your Articles of Organization or Incorporation with the Louisiana Secretary of State. LLCs file Articles of Organization and corporations file Articles of Incorporation.
  3. Prepare and sign your Louisiana Operating Agreement for LLCs or Bylaws for corporations.

An EIN is like a social security number for your business. An EIN allows you to file taxes, set up state tax accounts, issue a W-9, and get a bank account in your business name. You might already know that single-member LLCs or two-member husband-and-wife LLCs that file jointly don't need a separate EIN, because they're permitted to simply use their social security numbers as the business tax ID, instead of obtaining an EIN. 

However, just because you can launch a business without an EIN, doesn't mean you should. Protecting your personal social security number guards against identity theft. In fact, the more you use your personal social security for your business, the greater the risk of identity theft or someone misusing your social security number. Because obtaining an EIN number is a fast and easy process, we advise all startup businesses (even those that are single member or husband-and-wife teams) to obtain a separate EIN and to use that EIN.
